EXHIBIT C-II CLASS SB-[ ] CERTIFICATE THIS CERTIFICATE IS SUBORDINATED IN RIGHT OF PAYMENT TO THE SENIOR CERTIFICATES, THE CLASS M-1, CLASS M-2, CLASS M-3, [CLASS ▇-▇, ▇▇▇▇▇ ▇-▇, CLASS M-6, CLASS M-7, CLASS M-8, CLASS M-9 AND CLASS M-10] CERTIFICATES AS DESCRIBED IN THE AGREEMENT (AS DEFINED HEREIN).
The “annual value” of the fringe benefits and perquisites described in Paragraph 6(a) for purposes of paragraph (C)(II) above shall be 7.5% of the annual base salary amount applicable under clause (iii)(A) above.
The public offering price of Class A shares, Class CII shares, Class J shares and Class K shares shall be the net asset value of such shares, plus any applicable sales charge as set forth in the Prospectus.
Any contingent deferred sales charge imposed on repurchases and redemptions of Class A, Class B, Class C and Class CII shares upon the terms and conditions set forth in the Prospectus shall be paid to the Distributor in addition to the fees with respect to Class A, Class B, Class C and Class CII shares set forth in Section 6 hereof.
In the case of Class A shares, Class CII shares, Class J shares and Class K shares, the Distributor may retain so much of any sales charge or underwriting discount as is not allowed by the Distributor as a concession to dealers, and such sales charge or underwriting discount shall be in addition to the fee paid to the Distributor in respect of Class A shares, Class CII shares, Class J shares and Class K shares as described in Section 6 hereof.
