Except as otherwise approved by the CEO (in his sole discretion and authority), the provisions of this Section 6 shall supersede in their entirety any severance payment provisions in any severance plan, policy, program, or other arrangement maintained by the Company.
Executive shall be eligible to receive an annual bonus based on Executive’s achievement of performance objectives established by the CEO and/or the Compensation Committee, such bonus to be targeted at 50% of the Annual Base Salary (the “Annual Bonus”).

The CEO is hereby expressly authorized to (A) implement matters approved by the Board in accordance with Section 6.2, (B) implement Significant Matters approved pursuant to the Significant Matter approval process contained in Section 6.4 and (C) once the initial Business Plan and Budget are in effect in accordance with Section 8.1, operate the Company in accordance with the Charter, Business Plan and Budget in effect from time to time in accordance with Section 8.1.
