Similarly, CDB shall notify the Borrower on becoming so aware in respect of a payment payable to CDB.
If any VAT is chargeable on any supply made by CDB to any Party in connection with a Finance Document, that Party shall pay to CDB (in addition to and at the same time as paying the consideration) an amount equal to the amount of VAT (and CDB shall promptly provide an appropriate VAT invoice to such party).
Any term of the Finance Documents may be amended or waived only with the consent of CDB and the Borrower and any such amendment or waiver will be binding on all Parties.
If the Borrower requests an amendment, waiver or consent under any Finance Document, the Borrower shall, within three (3) Business Days of demand, reimburse CDB for the amount of all costs and expenses (including legal fees) reasonably incurred by CDB in responding to, evaluating, negotiating or complying with that request or requirement.
