Each Credit Party and, to the Knowledge of Borrower, each of its Subsidiaries, has implemented written policies and procedures as well as training that is reasonable and customary in the pharmaceutical and aesthetics industries, satisfies the requirements of all applicable Requirements of Law (including HIPAA, GDPR, CCPA and PIPEDA, as applicable) and is otherwise reasonably expected to be adequate to assure continued compliance and to detect non-compliance.
The Company and its Subsidiaries are, and at all prior times were, in material compliance with all applicable state and federal data privacy and security laws and regulations, including without limitation HIPAA, CCPA, and the European Union General Data Protection Regulation (“GDPR”) (EU 2016/679) (collectively, the “Privacy Laws”).
Each Credit Party and, to the Knowledge of Borrower, each of its Subsidiaries, to the extent applicable, is in material compliance with all applicable foreign, federal, state and local laws and regulations regarding the privacy, data protection, security, and notification of breaches of health information and regarding electronic transactions, including HIPAA, GDPR, CCPA and PIPEDA.
