To the knowledge of the Loan Parties, no event has occurred and is continuing which could reasonably be expected to (i) result in the imposition of a material forfeiture or the revocation, termination or adverse modification of any such Communications License, PUC Authorization or CATV Franchise (ii) materially and adversely affect any rights of any Loan Party thereunder.
There is not pending or, to the best knowledge of any Loan Party, threatened, any action by the FCC or any other Governmental Authority to modify adversely, revoke, cancel, suspend or refuse to renew any Communications License, CATV Franchise or PUC Authorization held by any Loan Party or any of its Subsidiaries, except, in each case, for such actions that, if adversely determined, would not, individually or in the aggregate, have a Material Adverse Effect.
There is not pending or, to the best knowledge of any Loan Party, threatened, any action by the FCC or any other Governmental Authority to revoke, cancel, suspend or refuse to renew any Communications License, CATV Franchise or PUC Authorization held by any Loan Party or any of its Subsidiaries.
Schedule 5.07a shows the expiration date and/or termination date for each FCC License and CATV Franchise in effect on the Closing Date.
Without limiting the generality of the foregoing, if an Event of Default shall have occurred and be continuing, the Pledgor shall take any action which the Administrative Agent may, to the extent commercially reasonable, request in order to transfer and assign to the Administrative Agent, or to such one or more third parties as the Administrative Agent may designate, or to a combination of the foregoing, each FCC License, PUC Authorization and CATV Franchise.
