The only parties having authorized access to the Cash stored in the Covered Machines shall be (i) Armored Carriers for the purposes of loading Cash in, or removing Cash from, the Covered Machines, as provided in the Armored Carrier Contracts, (ii) Armored Carriers for purposes of redelivery of the Cash to ▇▇▇▇▇ Fargo Network Locations pursuant to this Agreement, and (iii) the Maintenance Providers for purposes of Machine maintenance as set forth in the Maintenance Contracts.
Except as set forth in Schedule 3.22(c) to the Sellers' knowledge, the Carrier Contracts are validly assignable to Purchaser without the consent of any other party.
