Subject to the provisions of the LP Act and of such similar legislation in Canada and elsewhere as is applicable to the Partnership, the liability of the Limited Partner for the debts, liabilities and obligations of the Partnership will be limited to its Capital Contribution Balance and solely to the extent required by applicable law, the amount of any Capital Distributions received by it.
The Trustee shall not be entitled to redeem the Certificates, and the Trustee shall not be entitled to dissolve the Trust otherwise than as provided in this Condition 10 (Capital Distributions of the Trust), Condition 13 (Purchase and Cancellation of Certificates) and Condition 14 (Dissolution Events).
For the purpose of (a) above, amounts shall be considered due in respect of the Trust Certificates (including for the avoidance of doubt any amounts calculated as being payable under Condition 7 (Fixed Periodic Distribution Amount Provisions), Condition 8 (Floating Periodic Distribution Amount Provisions) and Condition 11 (Capital Distributions of Trust)) notwithstanding that the Trustee has at the relevant time insufficient funds or Trust Assets to pay such amounts.

The Trust will make Class B Capital Distributions not later than the expiration of the Initial Redemption Period provided that there are proceeds remaining from the Class B Offering after paying Class B Offering expenses making the Special Class A Distribution and redeeming Class A Interests pursuant to the last paragraph of Section 9.6.
