The aggregate purchase price (the “Purchase Price”) for the Shares shall be an amount equal to (a) One Billion Dollars ($1,000,000,000.00), minus (b) the Closing Indebtedness, minus (c) any Capex Adjustment, minus (d) any Reimbursable Expenses.
