No violation of any Cannabis Law exists with respect to any Loan Party or its respective business operations.
Borrower shall, upon receipt, promptly deliver to Agent a copy of any report, audit, summary or investigation, of any kind or character, whether prepared by or on behalf of Borrower or by any other party, related to matter or the compliance status of any Loan Party with respect to any Cannabis Law.

To the extent any Loan Party or Obligor is determined by any State Governmental Authority to be in violation of with any Cannabis Law or any Applicable Law, Borrower shall promptly undertake and complete any and all investigations, response or other corrective action necessary or recommended to place the Loan Party in compliance with such applicable Cannabis Laws.
