If the Company makes an All Notes Election with respect to a Partial Redemption pursuant to Section 16.02(d), Holders of all outstanding Notes may convert their Notes pursuant to this Section 14.01(b)(v) at any time during the relevant Redemption Period, irrespective of whether such Notes are Called Notes and even if the Notes are not otherwise convertible at such time.
A conversion of Notes shall be deemed for these purposes to be “in connection with” a Notice of Redemption if (x) such Notes are Called Notes with respect to such Notice of Redemption or (y) the Company has made an All Notes Election with respect to a Partial Redemption pursuant to Section 16.02(d) such that all Notes are convertible pursuant to Section 14.01(b)(v) and, in each case, the relevant Conversion Date occurs during the related Redemption Period.
