If the Company does not timely deliver such written notice, the Company shall be deemed to have waived its Call Right with respect to the Redemption described in the Redemption Notice.
For the avoidance of doubt, receipt of a Conversion Notice (as defined below) shall not affect or impair the Keurig Partners’ right to exercise the Call Right in accordance with its terms.
The closing of any purchase pursuant to the Early Call Right shall occur on the date specified in the Early Call Right Notice (or such other date mutually agreed by the Keurig Partners and the Co-Investor Limited Partner).
