C Share definition

C Share means the non-voting class C ordinary share of US$1 in the capital of the Company, to be held by EPA Holdings in respect of the EPA Portfolios;

C Share means a participating share of no par value in the capital of the Fund which has been designated as a C share and which will not pay a dividend;

C Share means a share of no par value in the capital of the Company issued as a C Share carrying the rights and being subject to the restrictions set out in the Articles;

• The Distributor shall be considered to have performed all services so as to entitle it to the right to the payment of the Class C Distribution Fee with respect to the first year following issuance of each Class C Share so long as with respect to the Class C Distribution Fee, the Plan with regard to such Class C Shares continues pursuant to its term and the right to payment of the CDSC with respect to each Class C Share upon the settlement date of the redemption of such Class C Share.

• The distribution agreement with any Distributor shall provide that the portion of the amounts set forth in Appendix A that is an asset based sales charge with respect to Class C Shares shall be deemed to be paid for services rendered by the Distributor or any Dealers in placing the Class C Shares, which services are fully performed upon the settlement of each sale of a Class C Share (or share of another portfolio from which the Class C Share derives).

More Definitions of C Share

C Share means a share of no par value in the capital of the Company, designated as a "C share", denominated in Euro and having such rights and being subject to such restrictions as are contained in the Articles;
