Buyer Reports definition

Buyer Reports has the meaning set forth in Section 4.06(a).

Buyer Reports means (a) the Buyer’s Annual Report on Form 10-K for the fiscal year ended December 31, 2004, as filed with the SEC, and (b) all other reports filed by the Buyer under Section 13 or subsections (a) or (c) of Section 14 of the Exchange Act with the SEC since January 1, 2005.

Buyer Reports shall have the meaning ascribed thereto in Section 3.11 hereof.

Examples of Buyer Reports in a sentence

• As of their respective dates, the Buyer Reports did not contain any untrue statement of a material fact or omit to state a material fact required to be stated therein or necessary to make the statements therein, in light of the circumstances under which they were made, not misleading.

• The Buyer Reports complied in all material respects with the requirements of the Exchange Act and the rules and regulations thereunder when filed.

• There are no outstanding comments from or unresolved issues raised by the SEC, as applicable, with respect to any of the Buyer Reports.

• Except as disclosed in the Buyer Reports, as of the date of this Agreement, there is no Legal Proceeding which is pending or, to the Buyer's knowledge, threatened against the Buyer or any subsidiary of the Buyer which, if determined adversely to the Buyer or such subsidiary, could have, individually or in the aggregate, a Buyer Material Adverse Effect or which in any manner challenges or seeks to prevent, enjoin, alter or delay the transactions contemplated by this Agreement.
