Bridge Financing Documents definition

Bridge Financing Documents means the agreements, documents and certificates contemplated by the Bridge Financing, including (a) all credit agreements, loan documents and other agreements contemplated by the Bridge Commitment Letter; (b) any certificates, opinions, corporate organizational documents, good standing certificates, lien searches, and/or resolutions contemplated by the Bridge Commitment Letter; and (c) all documentation and other information required by bank regulatory authorities under applicable “know-your-customer” and anti-money laundering rules and regulations, including the Patriot Act.

Bridge Financing Documents means the agreements, documents and certificates contemplated by the Bridge Financing, including: (i) all credit agreements, note purchase agreements, indentures and notes relating to the Bridge Financing (such agreements the “Primary Bridge Financing Agreements”); (ii) all officer, secretary, solvency and perfection certificates, and legal opinions to be provided in connection with the Bridge Financing; and (iii) agreements providing for guarantees of the Bridge Financing.

Bridge Financing Documents means the Bridge Loan Agreement and the other “Loan Documents” as defined in the Bridge Loan Agreement.

Examples of Bridge Financing Documents in a sentence

• A subsidiary's guarantee will be released upon the sale of such subsidiary to the extent released under the Senior Credit Facility or as otherwise provided in the Bridge Financing Documents.

• The Purchaser also hereby waives the Company’s compliance with any required notice periods contained in Section 5.12 or 5.24 of the Securities Purchase Agreement with respect to the proposed issuance of warrants as provided in the Bridge Financing Documents.

• Such bridge financing, as contemplated by the Bridge Financing Documents, is referred to herein as the “Bridge Financing”.

• The Company has advised the Purchaser that it desires to obtain bridge financing, in an aggregate principal amount not to exceed $2,500,000, from Clutterbuck Funds LLC, a Delaware limited liability company (“Clutterbuck”), pursuant to definitive loan and security documentation substantially in the form attached hereto as Exhibit A (the “Bridge Financing Documents”), which bridge financing will be secured by liens on the Collateral (as such term is defined in the Bridge Financing Documents).

• The Purchaser hereby consents, in accordance with the terms of Section 5.19(a) and Section 5.19(c) of the Securities Purchase Agreement, to the incurrence by the Company of the Indebtedness under the Bridge Financing, and the creation by the Company of Liens upon the Xtrac Assets (as defined in the Amended and Restated Pledge Agreement referred to below) in favor of Clutterbuck Funds LLC, in each case on the terms and subject to the conditions provided by the Bridge Financing Documents.

More Definitions of Bridge Financing Documents

Bridge Financing Documents means all the notes, warrants, agreements and obligations relating to and/or arising from the Bridge Financing (as defined in the Consent and Waiver, dated March 13, 2019 by and between the Company and Purchaser).

Bridge Financing Documents shall have the meaning set forth in the Senior Facilities Agreement.

Bridge Financing Documents means all of the Bridge Notes, the note purchase agreements and related agreements and documents delivered to Administrative Agent and Lenders on the Closing Date pursuant to which the Bridge Financing was made.

Bridge Financing Documents means, in respect of the Aircraft bearing manufacturer's serial number 28148, the respective financing and security documents entered into between the Borrower, the Lessee, ABN AMRO Bank N.V. (as facility agent and as security agent) and the Lenders as defined therein, as applicable, in connection with the acquisition of such Aircraft by the Borrower and the leasing of such Aircraft by the Borrower to the Lessee;

Bridge Financing Documents means any and all documents executed and delivered in connection with the Bridge Financing.

Bridge Financing Documents means this Agreement, the Notes, the Subsidiary Guaranty, the Warrants, the Warrant Shares, the Fee Letter, the Engagement Letter and the Warrant Escrow Agreement.

Bridge Financing Documents means, collectively, the Bridge Note Purchase Agreement, the Bridge Notes, the Bridge Commitment Letter, the Exchange Notes and the Exchange Note Indenture.
