Brand Standards definition

Brand Standards means the guidelines developed for use with the Licensed Vacation Ownership Business as modified, amended or supplemented from time to time in accordance with Article VII, which include without limitation standards and specifications related to health, fire and life safety, security, guest services and assistance, quality assurance as well as design and construction standards, it being acknowledged Brand Standards differ from other Licensor brand standards in a manner to reflect appropriate differences between hotel service levels and service levels applicable to the Licensed Vacation Ownership Business.
Brand Standards means the standards, specifications and requirements for the commercial use of the Brand System IP in the conduct of the Brand Restaurant Businesses and in the development and operation of the Restaurants under the Brands (including Brand Trademark usage, maintenance and registration standards; food safety and other quality assurance processes; governance protocols; and Restaurant design, inspection and maintenance processes) as established by Licensor, all subject to updating and amendment, from time to time, as specified in Section 5.3. Exhibit B includes a list of categories of Brand Standards and the source of each.
Brand Standards means the design elements, services and safety standards, and other branding elements as developed and specified from time to time by SOHO or an Affiliate of SOHO and utilized at a hotel that is not subject to a Franchise Agreement.

Examples of Brand Standards in a sentence

  • Owner shall consider, but shall not be required to make (unless same are necessary to operate the Hotel at or to maintain the Brand Standards or are otherwise required by this Agreement), any other alterations, additions or improvements recommended by Operator.

  • Owner shall have the right to reasonably approve the items in the Capital Budget and FF&E Estimate unless such items are required by the Brand Standards, such approval not to be withheld, conditioned or delayed unreasonably.

  • As part of the proposed Business Plan for any Calendar Year submitted for Owner’s approval, Operator shall prepare an annual estimate of the expenditures (the “FF&E Estimate”) for replacements, renewals and additions to the FF&E of the Hotel and routine capital expenditures that are necessary to keep the Hotel in good operating condition consistent with the Brand Standards.

  • Any failure or refusal of Owner to fund a request for funds made by Operator hereunder within such 30-day period shall be deemed a default by Owner and, without limiting Operator’s other remedies, shall excuse Operator from its obligation to operate the Hotel in accordance with the Brand Standards to the extent Operator is prevented from doing so by Owner’s failure or refusal to provide or obtain the funds required.

  • Operator shall use commercially reasonable efforts to manage and operate the Hotel in a manner consistent with the Brand Standards subject to (i) Owner’s provision of sufficient funds to maintain such Brand Standards in accordance with and as required under this Agreement, and (ii) Owner performing all of its other obligations under this Agreement.


More Definitions of Brand Standards

Brand Standards means the standards of operation, as amended from time to time, in effect at substantially all hotels which are operated under, as applicable, the Staybridge Suites, InterContinental, Crowne Plaza or Holiday Inn name as may be specified in manuals and other guidelines provided by the owner of the System Marks or its Affiliates.
Brand Standards means collectively, the Graphic Standards Manual, and the Petroleum Facility Prior Station Image Requirements.
Brand Standards means the Home Energy – Fleet Graphics – New Image dated December 18, 2009 attached hereto as Schedule K-1.
Brand Standards means (i) the Hotel is furnished, fitted, equipped, open and operating under the Brand in accordance with Seller’s Franchise Agreement and (ii) the Franchisor has approved the completion, furnishing and equipping of the Hotel in writing, and (iii) the Franchisor has approved the opening and operation of the Hotel under the Brand in accordance with Seller’s Franchise Agreement.
Brand Standards means the standards for each Brand contained in the integrated Brand Standards Manual for that Brand posted on HWI’s intranet, together with supplemental documents, guidelines and manuals of HWI referenced in the Brand Standards Manuals, which are usually updated on an annual basis.
Brand Standards means the standards of operation, as amended from time to time, in effect at substantially all hotels which are operated under the Staybridge Suites name as may be specified in manuals and other guidelines provided by the owner of the System Marks or its Affiliates; provided, however, with respect to the Buckhead Hotel, the term “Brand Standards” shall mean the standards of operation from time to time required of owners of similar hotels.
