Bound Party definition

Bound Party has the meaning set forth in Section 19(a) of this Agreement.

  • No Responsible Party shall be required to present any such business opportunity or venture to any Bound Party, even if the opportunity is of the character that, if presented to any of such persons or entities, could be taken by them.

Bound Party means each of the following: the Declarant, each Builder, each contractor, subcontractor, supplier, and laborer, the Metropolitan District, to the extent permitted by law, and their respective directors, officers, members, partners, employees and agents; the ARC and the committees and representatives appointed by the ARC, the NCDRC, and each of their respective members and agents; all Persons subject to this Declaration; and any Person who is not otherwise subject to this Declaration, but who agrees to submit to this Article. Notwithstanding the foregoing, “Bound Party” shall not include any of the Persons identified in this Section, if such Persons have jointly entered into a separate written agreement providing for dispute resolution applicable to the Claim; in such circumstance, the dispute resolution mechanism set forth in such separate written agreement between such Persons shall apply with respect to such Claim, unless such Persons mutually agree to submit such Claim to the provisions of this Article.
Bound Party means each of the following: Declarant, its officers, directors, members, partners, employees and agents; the Association, its officers, directors, members, partners and committee members; all Persons subject to this Declaration; any builder, its officers, directors, employees and agents; and any Person not otherwise subject to this Declaration who agrees to submit to Article 12 of this Declaration (Alternative Dispute Resolution).
Bound Party means the Residential Association, Parcel Owner, affiliates of Parcel Owner and any Residential Association Manager; the successors and assigns of such Bound Parties; the Unit Owners and their heirs, successors and assigns; and all other persons to the extent subject to the Residential Declaration. “Bound Party” also includes any person or entity not otherwise subject to the Residential Declaration who agrees to submit to the arbitration provision therein, and the agents, representatives, members, employees, officers and/or directors of such person or entity, if a Claim is also asserted at the same time against such person or entity and/or such person or entity may have a financial obligation for any recovery of the party asserting the Claim.
Bound Party means any (i) Member, or (ii) former Member who is bound by certain provisions of this Agreement as provided in Section 4.5(d).
