Seller Parent acknowledges that items of income, cash and expense for the Business, including, without limitation, deposits for Bookings and Accounts Receivable are received and paid in part by Transferco and the Target Entities and in part by Seller Parent and Affiliates of Seller Parent that are not being acquired by Purchaser.
