Upon the Possession Date, Tenant shall have the sole and exclusive use of the Boat Ramp Area.
Tenant further hereby agrees to defend, indemnify and hold Landlord harmless from any Losses (as defined in Section 9.07), arising from or related to the Boat Ramp Area and the use thereof by Tenant, or an invitee, licensee, guest or member of the public.
Notwithstanding anything to the contrary herein, Tenant, at its sole cost and expense and without reimbursement from Landlord or any other tenant, shall be responsible for all maintenance and repairs to the Boat Ramp Area and for all replacements thereto so as to keep the Boat Ramp Area in good condition and repair consistent with the maintenance standard utilized for Landlord for the remainder of the Real Estate and Common Areas.
Tenant further acknowledges that it shall be responsible for insuring the Boat Ramp Area under the insurance policies it is required under maintain under Article IX and that Landlord shall have no repair or restoration obligation related thereto regardless of any other terms or condition thereof to the contrary.
It is further agreed that the Common Areas shall exclude the Boat Ramp Area.
