The Company shall use the net proceeds from the sale of the Securities hereunder to fund the acquisition of BNB and the establishment of the Company’s BNB treasury operations, as provided in Section 4.20 hereof, as well as for working capital, general corporate purposes and to pay all transaction fees and expenses related thereto.
Each Purchaser shall deliver as instructed by the Company BNB equal to such Purchaser’s Subscription Amount as set forth on the signature page hereto executed by such Purchaser.
In connection with the Closing, the Company shall adopt a policy, under which the Company’s treasury reserve assets will consist of: (i) cash and cash equivalents and short-term investments (“Cash Assets”) that exceed working capital requirements; and (ii) BNB, which will serve as the primary treasury reserve asset of the Company on an ongoing basis, subject to market conditions.
