Blocker Corp definition

Blocker Corp means a direct or indirect equityholder of the Company that (i) is an entity organized under the laws of any State of the United States, (ii) is treated as a “C” corporation for U.S. federal income tax purposes and (iii) has never engaged in any business activity other than owning either (A) a direct or an indirect membership interest in the Company or (B) a direct or indirect interest in certain businesses or assets of the Company, and activities ancillary thereto.

Blocker Corp has the meaning set forth in the introductory paragraph to this Agreement.

Blocker Corp is defined in the Recitals of this Agreement.
