Biogen Technology definition
Biogen Technology means the Biogen Program Technology, Jointly-Owned Program Technology, Biogen Product-Specific Patents and any trademarks described in Section 4.1.6, owned, used, developed by, or licensed to Biogen or its Affiliates that is necessary or useful to Develop, register, Manufacture or Commercialize a Product.
Biogen Technology means the Biogen Know-How and the Biogen Patent Rights.
Biogen Technology means all Technology which Biogen owns or Controls as of the Effective Date and which is reasonably useful in order to research, develop, make, use, sell or seek approval to market Product.

All rights in and to Biogen Technology not expressly licensed or assigned to Ionis under this Agreement, are hereby retained by Biogen or its Affiliates.
Further, each Party shall make appropriate personnel available to the other Party at reasonable times and places, including by telephone during normal business hours, and upon reasonable prior notice for the purpose of assisting such other Party to understand and use the applicable AGTC Technology or Biogen Technology for the Development, Manufacture, Commercialization and use of Licensed Products in accordance with this Agreement.
Biogen shall, in its sole discretion, prepare, file, prosecute and maintain all patent applications and patents covering Biogen Technology, Biogen Gene Therapy Technology, Biogen's Solely-Owned Collaboration Technology and the Jointly-Owned Collaboration Technology.
Except as otherwise provided in this Agreement (i) Biogen shall retain its rights to the Biogen Technology, Biogen Gene Therapy Technology, the Biogen Intellectual Property Rights and the Biogen Gene Therapy Intellectual Property Rights and (ii) Ontogeny shall retain its rights to the Ontogeny Technology and the Ontogeny Intellectual Property Rights.
Biogen represents and warrants to TMC that Biogen is the owner or licensee of the Biogen Technology and Biogen Patent Rights and has the right and ability to grant the licenses granted under this Agreement.

Biogen Technology means all Technology, exclusive of the Biogen Gene Therapy Technology and the Collaboration Technology, which Biogen owns or otherwise has the right to grant licenses under as of the Original Effective Date or during the term of the Collaboration, which is reasonably necessary to either or both Parties in order to discover, research, develop, make, use, sell or seek approval to market a therapeutic product that comprises a Hedgehog-based Molecular Entity.
Biogen Technology means all Intellectual Property, whether patentable or not (i) which Biogen owns or controls as of the Effective Date or as to which Biogen acquires ownership or control at any time during the term of this Agreement, related to DNA sequences encoding Hepatitis B viral antigens, and (ii) which is necessary or useful in order to discover, research, develop, make, use, offer for sale, import, sell or seek approval to market Licensed Products.

Biogen Technology means any and all technology, know-how and ----------------- rights owned or Controlled by Biogen or any of its Affiliates during the Development Period with respect to a specific Development Project contemplated under this Agreement to the extent the same directly relate to, are desirable for, or are necessary or useful for, the production, storage and/or marketing of one or more Products and are used or contemplated to be used in connection with Targeted's Development Tasks as specified in the Project Plan and Budget applicable to such Development Project.
Biogen Technology means information and materials in the FIELD, including but not limited to, biological materials, technical and non-technical data and information relating to the results of tests, assays, methods, and processes, and drawings, plans, diagrams and specifications and/or other documents containing such information and data owned by BIOGEN or to which BIOGEN has a transferable interest on the EFFECTIVE DATE or prior to termination of this Agreement and which are necessary or useful for the manufacture, use or sale of PRODUCTS.
