Seller acknowledges that a true and correct draft of the Binder Agreement was provided to Seller on or prior to the date of this Agreement.
From and after the Closing, to the extent requested in writing, each Seller shall, and shall cause its respective Affiliates to use good faith efforts to reasonably cooperate with Buyer and its Affiliates in connection with (a) any claim made by Buyer under the R&W Insurance Policy, and (b) any additional diligence information required to address and remove any conditional exclusions under the R&W Insurance Policy or conditions set forth in the Binder Agreement.
