Without prejudice to Clauses 25.5 (Adjustments to Unitary Charge) and 25.7 (Costs), PPP Co. will indemnify the Authority from and against all and any Claim and/or Loss which may arise out of, or in the course of, the Benchmarking Exercise and/or Market Testing, except where such Claim or Loss is solely and directly caused by an act or omission of the Authority and/or the Authority’s Representative.
Any Tested Service not subject to Market Testing shall be subject to a Benchmarking Exercise pursuant to clause 28.1 (Benchmarking Option).
In the event of any dispute as to the validity of the Solicitors Benchmarking Exercise, the Client may refer the dispute to be resolved pursuant to clause 25 Disputes and Law, of the Contract Terms and Conditions.
The Benchmarking Exercise shall, as far as is reasonably practicable, compare Prices on a like-for-like basis (taking account of the comparable services and equivalent contractual terms).
The resulting Benchmarking Exercise will be made available to the Solicitor for consideration and subsequent agreement with the Client on any changes to pricing or Service Levels.
