The Baseline Amount for a given calendar month shall be the total amount paid to the Manager by the Corporation pursuant to the Management Agreement in respect of such calendar month.
For the services which WAML will render to the Manager and the Fund under this Agreement, the Manager will pay WAML a fee, computed monthly and paid monthly, equal to the product of the Baseline Amount for the relevant calendar month and the Subadviser Fraction for such calendar month.
