The Bank Consent shall have been obtained or, in lieu thereof, the Bank Refinancing shall have been effected.
If Purchaser is unable to obtain the U.S. Bank Consent on or before December 12, 2016, Purchaser shall have the right to terminate this Agreement by giving Seller a Termination Notice to be received by Seller no later than 6:00 p.m. (Central Standard Time) on December 12, 2016, whereupon this Agreement shall be considered terminated and neither party shall have any further rights or obligations hereunder except as expressly set forth herein.
The Company shall pay and be responsible for any fees, charges or other payments required to be paid to the lenders in connection with obtaining the Bank Consent.
Notwithstanding anything contained herein to the contrary, the effectiveness of this Agreement and the rights and obligations contained in this Agreement shall be subject to and contingent upon the parties obtaining the Bank Consent on or before December 24, 2004.
In the event that the Bank Consent is not obtained on or before December 24, 2004 this Agreement shall be treated for all purposes as if it was never entered into or effective among the parties and shall be null and void and of no force or effect.
