RSUs together with any Shares distributed in settlement of RSUs and any Award Gain (as defined in Section 11(a) of the 2005 Plan) realized in connection with the RSUs are subject to forfeiture under certain circumstances, in accordance with Section 11 of the 2005 Plan.
