Aviation Assets the assets of the Borrower and the Restricted Subsidiaries constituting “Total assets” in the Borrower’s Aviation Leasing segment (or a successor segment), as reflected in the Borrower’s most recent quarterly or annual report filed with the SEC (or the equivalent thereof as reported by any successor to or assign of the Borrower in accordance with this Agreement).

Aviation Assets means (i) that certain Raytheon Aircraft Company Model B300 as more particularly described in the Aviation Trust Agreement, (ii) that certain Textron Aviation Inc. Model B300 as more particularly described in the Aviation Trust Agreement, (iii) a 9.375% undivided ownership interest in that certain 2007 Cessna Aircraft Company 680 (Citation Sovereign) as more particularly described in the Aviation Trust Agreement, (iv) any other airframe acquired by Parsley Administration, (v) any deposit or other payment made, whether previously or in the future, on or with respect to any other airframe to be acquired by Parsley Administration or by the Owner Trustee, as defined in and pursuant to the Trust Agreement, on behalf of the Aviation Trust, and (vi) all engines, accessories and other equipment installed on or in the airframes described in clauses (i) through (v) of this definition and as more particularly described in each supplement to the Aviation Trust Agreement.

Aviation Assets shall have the meaning set forth in the preamble.

Examples of Aviation Assets in a sentence

• The Borrower shall not permit the ratio of (a) the Appraised Value of the Aviation Assets (other than any Excluded Aviation Assets) to (b) the Aggregate Commitment, as of the last day of any Test Period ending on June 30 or December 31, to be less than 3.00 to 1.00.

Aviation Assets shall have the meaning set forth in Paragraph (1) of the Preliminary Statements.

Aviation Assets means aircraft engines, airframes and related parts owned by the Sole Member.

Aviation Assets means (i) that certain Raytheon Aircraft Company Model B300 as more particularly described in the Aviation Trust Agreement, (ii) a 9.375% undivided ownership interest in that certain 2007 Cessna Aircraft Company 680 (Citation Sovereign) as more particularly described in the Aviation Trust Agreement, (iii) any other airframe acquired by Parsley Aviation, (iv) any deposit or other payment made, whether previously or in the future, on or with respect to any other airframe to be acquired by Parsley Aviation or by the Owner Trustee, as defined in and pursuant to the Trust Agreement, on behalf of the Aviation Trust, and (v) all engines, accessories and other equipment installed on or in the airframes described in clauses (i) through (iv) of this definition and as more particularly described in each supplement to the Aviation Trust Agreement.

Aviation Assets set forth in Section 1.1 of the Credit Agreement is hereby amended and restated in its entirety to read as follows:

Aviation Assets means Stage III compliant commercial aircraft, Stage III compliant aircraft engines, and aircraft engine parts and aircraft parts for such aircraft and engines.
