Average Daily Availability means, for any Fiscal Quarter, an amount equal to the sum of Availability for each day of such Fiscal Quarter divided by the actual number of days in such Fiscal Quarter, as determined by the Agent, which determination shall be conclusive absent manifest error.

More Definitions of Average Daily Availability

Average Daily Availability means, for any date of calculation, the average daily Availability, determined as of the close of business each day, for the subject period.

Each adjustment of any reporting schedule in the Agreement based on the Average Daily Availability shall be effective with respect to the subsequent quarter, month, or week, as applicable.
