Avalon shall have the meaning set forth in the preamble to this Agreement.

Avalon means Avalon Technology, LLC, a Michigan limited liability company.

Avalon means and refer to Avalon Limited Partnership, a Maryland limited partnership, and any successor or assign thereof to whom Avalon Limited Partnership shall expressly (i) convey or otherwise transfer all of its right, title and interest in the Land, the Property, or the lands thereof, as an entirety, without reservation of any kind, or (ii) transfer, set over and assign all of its rights, title and interest under these Covenants, or any amendment or modification thereof.

Avalon means Avalon Properties, Inc., a Maryland corporation, together with all of its Affiliates and Associates.

Avalon shall have the meaning given such term in the preamble to this Agreement.

Avalon shall include, in addition to Avalon Pharmaceuticals, Inc., any constituent corporation (including any constituent of a constituent) absorbed in a consolidation or merger to which Avalon Pharmaceuticals, Inc. (or any of its wholly owned subsidiaries) is a party which, if its separate existence had continued, would have had power and authority to indemnify its directors, officers, managers, employees, agents or fiduciaries, so that if Indemnified Person is or was a director, officer, manager, employee, agent or fiduciary of such constituent corporation, or is or was serving at the request of such constituent corporation as a director, officer, manager, partner (general or limited), member, trustee, employee, agent or fiduciary of another corporation, partnership, joint venture, limited liability company, employee benefit plan, trust or other enterprise, Indemnified Person shall stand in the same position under the provisions of this Agreement with respect to the resulting or surviving corporation as Indemnified Person would have with respect to such constituent corporation if its separate existence had continued.

Avalon means Avalon Group, Ltd., which was engaged by FCO in November, 1999 as its financial advisor.
