Available Employees definition

Available Employees has the meaning given to it in Section 6.5(a).

Available Employees has the meaning set forth in Section 7.4(a).

Available Employees means the employees of Seller who are based at the Boulder Facility or are listed on Schedule 8; provided, however, that none of the employees identified on Schedule 6 will be deemed to be "Available Employees."

Examples of Available Employees in a sentence

• Offers of employment made by Purchaser or Purchaser’s Affiliates to Available Employees pursuant to this Section 10.19(b) shall be under the terms and conditions as determined by Purchaser and Purchaser’s Affiliates in their sole discretion; provided that Purchaser covenants that Purchaser, or Purchaser’s Affiliates, shall provide each Available Employee not less than three (3) days in which to accept or reject Purchaser’s, or Purchaser’s Affiliates’, employment offer.

• Days Available: Employees will earn sick leave at the rate of one and one- quarter (1¼) days (10 hours) per month for employees who work 8 hours per day and pro-rated for employees who work less than 8 hours per day.

• All Available Employees who accept employment with Purchaser, or Purchaser’s Affiliates, pursuant to the offers described in this Section 10.19(b) and become employees of the Purchaser or any of the Purchaser’s Affiliates are referred to herein as “Transferred Employees”.

• For the avoidance of doubt, Buyer shall be liable for any severance and termination obligations incurred as a result of the consummation of the Transactions for Available Employees and the Company shall retain liability for severance paid to Employees who are not Available Employees and not employees of the Transferred Subsidiaries.

• We need to work closely to be collaborative.• Some services and support functions are better administered at a centralized level, some will work better at the School or decentralized level.

More Definitions of Available Employees

Available Employees has the meaning specified in Section 8.2(a).

Available Employees means those Business Employees who are available for hire by Buyer, as designated by Seller on a schedule provided to Buyer prior to the Execution Date.

Available Employees means those qualified employees present in the designated areas of a headquarters/service center at the time the overtime is needed. The designated area for overtime solicitation at each location will be determined by local management and the appropriate union steward. If more available employees than are needed express a willingness to accept the assignment, position on the call out list will determine the selection.

Available Employees means Dxxxxx Xxx and Txxxxxxx Xxxxxx.

Available Employees means those Business Employees who are not Excluded Employees, all of whom are identified in the Employee Letter and are available for Buyer or its Affiliates, in Buyer’s sole discretion, to make employment offers as part of the transaction contemplated by this Agreement.

Available Employees means those qualified employees present in the designated areas of a headquarters/service center at the time the overtime is needed. The designated area for overtime solicitation at each location will be determined by local management and the appropriate union xxxxxxx. If more available employees than are needed express a willingness to accept the assignment, position on the call out list will determine the selection. If less available employees than are needed express a willingness to accept the assignment, position on the call out list will determine which employees are required to accept the assignment. Once forced, an employee will be rotated to the bottom of the call-out list for forcing purposes only.

Available Employees shall have the meaning assigned thereto in Section 9.1(a).
