Available Capital Commitment means, with respect to the General Partner or any Limited Partner at any time, the excess, if any, of (i) such Person’s Capital Commitment at such time over (ii) the aggregate Capital Contributions made by such Person prior to such time, subject to adjustment as provided in this Agreement. For purposes of this definition, any Person’s aggregate Capital Contributions at any time shall be reduced by the aggregate amount theretofore repaid (as a distribution or otherwise) to such Person as a return during the Commitment Period of Capital Contributions previously made by such Limited Partner, pursuant to Section 6.02(a)(i) or otherwise.

Available Capital Commitment shall be determined as follows:

Available Capital Commitment means, with respect to any Fund, with respect to the General Partner or any Limited Partner having an interest in such Fund at any time, the excess, if any, of (i) such Partner’s Capital Commitment in respect of such Fund at such time over (ii) the aggregate Capital Contributions made by such Partner in respect of such Fund prior to such time, subject to adjustment as provided in this Agreement. For purposes of this definition, any Partner’s aggregate Capital Contributions (with respect to a Fund) at any time shall be reduced by the aggregate amount theretofore repaid (as a distribution or otherwise) to such Partner and/or, in the case of repayments on the principal amounts of Direct Loans, to an Affiliate of such Partner, as a return during the Commitment Period applicable to such Fund of Capital Contributions previously made by such Partner and/or, in the case of Direct Loans, an Affiliate of such Partner, in respect of such Fund, pursuant to Section 6.02(a)(i) or otherwise.

Examples of Available Capital Commitment in a sentence

Such payment shall not reduce such Shareholder’s Available Capital Commitment or constitute a Capital Contribution, and any such payment shall be payable without regard to such Shareholder’s Available Capital Commitment and notwithstanding the termination of the Investment Period or the Fund.

The Directors of the Company or their delegate may, subject to the notice periods outlined below, call all or a portion of the Available Capital Commitment of the investors in the Sub-Fund.
