Availability Window definition

Availability Window means, for each Site(s) / CMZ Group, the window of time during which the Company's Dynamic Services may be required to be available during an Operational Period as notified pursuant to paragraph 2 of Part 2 of Schedule 4 and "Availability" and "Available" shall be construed accordingly;
Availability Window means a time period designated by Amazon on the Flight Schedule during which the Carrier will staff a Network Spare so as to be available to depart its current location within [***] minutes of Amazon’s request.

Examples of Availability Window in a sentence

  • If a Network Spare is not available during an Availability Window due to a Carrier Delay (for clarity, not including a situation in which such Network Spare is unavailable because it is being used by a Carrier as a Spare Aircraft to support an Amazon Spare Request), then, for each day that such Network Spare remains unavailable, Sun Country will pay to Amazon an amount equal to [***] of the Fixed Monthly Charge for the Network Spare.

  • With respect to Network Spares, if the actual Variable Charges accrued by the Network Spare for the month are less than the Minimum Availability Window Charge specified in the Price Schedule for the applicable number of Availability Windows, then Amazon will be responsible to pay the applicable Minimum Availability Window Charge instead of the actual Variable Charges accrued by the Network Spare.

  • Carrier will use commercially reasonable efforts to maximize the duration of the Availability Window and if, at any time, Carrier xxxxxxx aware that the Aircraft is not expected to be available for Amazon flights during an Availability Window, Carrier will promptly notify Amazon.


More Definitions of Availability Window

Availability Window means 8:00 AM to 10:00 PM (EST) on Business Days or such other continuous 14-hour period on Business Days prescribed by the Sponsor from time to time, provided that: (i) the Sponsor shall be entitled to exercise the right to prescribe a revised Availability Window on ninety (90) days’ prior written notice up to two times in each Contract Year; and (ii) such revisions shall be limited to a maximum movement of two hours relative to the start and end times of the Availability Window as defined as at the Contract Date, and provided further that the Sponsor shall be entitled to exceed the two-hour maximum when exercising its right to prescribe a revised Availability Window if the Sponsor obtains the Supplier’s prior written consent which shall not be unreasonably withheld, delayed or conditioned.‌
Availability Window means a window of time in relation to a Dispatch Group for which the Company requires the Provider to be ready and able to provide the Service Response, if instructed.
