Authorized Institution definition

Authorized Institution. (認可機構) means an authorized institution within the meaning of section 2(1) of the Banking Ordinance (Cap 155);

Authorized Institution means a bank, savings and loan institution, trust or insurance company, real estate investment trust, pension, welfare or retirement fund, acting either in its own capacity or as a trustee.

Authorized Institution means (a) a bank, savings and loan institution, trust or insurance company, real estate investment trust, a pension, welfare or retirement fund, an eleemosynary institution, a commercial bank or trust company acting as trustee in connection with the issuance of any bonds or any other debt financing (securitized or otherwise), a special purpose corporation or other entity established for the purpose of securitized financing which is owned wholly by any other Authorized Institution(s), or any combination of the foregoing, acting for its own account or as a trustee, provided, that each of the above entities, or any combination of such entities, shall qualify as an Authorized Institution for purposes of this Lease only if (i) each such entity is not a related entity of Tenant and (ii) each such entity, or combination of such entities, or the parent or parents of such entity or entities, or a guarantor reasonably satisfactory to Landlord of each such entity under a guaranty to and for the benefit of Landlord in form and substance reasonably satisfactory to Landlord, shall have individual or combined, as the case may be, net worth of at least $100,000,000 (subject to CPI Increase each Lease Year, commencing with the first Lease Year) as of the date of the giving of a Leasehold Mortgage by Tenant to any such aforementioned Person, or (b) a governmental or quasi- governmental instrumentality."
