Authorised Recipients definition

Authorised Recipients means those persons who need to know or have access to the Confidential Information in the course of their professional duties, for the purposes of evaluating, negotiating or advising upon the Proposed Transaction, and include the Recipient's senior executives, professional advisers, agents and representatives.
Authorised Recipients means, to the extent that they need access to the Confidential Information for the purposes of or in connection with the discussions between the Parties, the Receiving Party Group (other than the Receiving Party), and the respective officers, employees, advisers, agents and representatives of the Receiving Party Group;
Authorised Recipients means the Escrow Agent, any Citi Organisation and any agents of the Escrow Agent and third parties (including service providers) selected by any of them, wherever situated.

More Definitions of Authorised Recipients

Authorised Recipients means in the case of each Receiving Party’s directors, officers and employees and those of any corporation directly or indirectly controlling, controlled by, or under common control with Receiving Party (control being the ownership of fifty percent (50%) or more of the outstanding voting stock of a corporation), and/or any individual or organization retained by them to assist in the evaluation of the Collaboration, and/or any individual or company cooperating with Party in the scope of Collaboration, providing that each such company, individual or organization is legally bound to keep confidential any of the Confidential Information disclosed by the Disclosing Party on terms no less onerous than those set out herein.
Authorised Recipients has the meaning given to it in Clause 2(d) of this Agreement.
Authorised Recipients means, in relation to each Party, that Party's Connected Persons.
