Authorised Recipients definition

Authorised Recipients means, to the extent that they need access to the Confidential Information for the purposes of or in connection with the discussions between the Parties, the Receiving Party Group (other than the Receiving Party), and the respective officers, employees, advisers, agents and representatives of the Receiving Party Group;

Authorised Recipients means the Escrow Agent, any Citi Organisation and any agents of the Escrow Agent and third parties (including service providers) selected by any of them, wherever situated.

Authorised Recipients means those persons who need to know or have access to the Confidential Information in the course of their professional duties, for the purposes of evaluating, negotiating or advising upon the Proposed Transaction, and include the Recipient's senior executives, professional advisers, agents and representatives.

Examples of Authorised Recipients in a sentence

• The undertakings in this letter are given by you on your own behalf and as agent for each of your Authorised Recipients, and with their full knowledge and authority.

• You and your Authorised Recipients will destroy or return to us on demand any document (including any note, analysis or memorandum prepared by any of you) containing Information and any copy which may have been made, and take reasonable steps to expunge all Information from any computer, word processor or other device containing Information.

• You will procure so far as you are legally able that each of your Authorised Recipients who receives any Information is aware of and adheres to the terms of this letter.

• You will indemnify and hold each of the Sellers and each of their Connected Persons harmless, on an after-tax basis, from and against all claims, demands, liabilities, losses, damages, costs and expenses suffered or incurred by it or any of its Connected Persons arising directly or indirectly from a breach of this letter by you or any of your Authorised Recipients.

• Under no circumstance shall the Recipient or its Authorised Recipients use any Confidential Information in relation to its own business (other than for the purpose of evaluating and negotiating the Proposed Transaction) or to compete with the Discloser or its Affiliates.

More Definitions of Authorised Recipients

Authorised Recipients means in the case of each Receiving Party’s directors, officers and employees and those of any corporation directly or indirectly controlling, controlled by, or under common control with Receiving Party (control being the ownership of fifty percent (50%) or more of the outstanding voting stock of a corporation), and/or any individual or organization retained by them to assist in the evaluation of the Collaboration, and/or any individual or company cooperating with Party in the scope of Collaboration, providing that each such company, individual or organization is legally bound to keep confidential any of the Confidential Information disclosed by the Disclosing Party on terms no less onerous than those set out herein.

Authorised Recipients means, in relation to each Party, that Party's Connected Persons.

Authorised Recipients has the meaning given to it in Clause 2(d) of this Agreement.
