Australian Security Documents definition

Australian Security Documents means the Australian General Security Deed, the Australian Specific Security Deed and any other Collateral Document expressed to be governed by the laws of any State or Territory of Australia executed by any Australian Credit Party to secure the Obligations or in connection with the Obligations, in each case together with all extensions, renewals, amendments, supplements, modifications, substitutions and replacements thereto and thereof and any other document that any Australian Credit Party or Credit Party that is the holder of all of the equity interests in an Australian Credit Party and the Collateral Agent designate as an Australian Security Document.
Australian Security Documents means the General Security Deed, the Pledge Agreement and the Operating Company Pledge Agreement.
Australian Security Documents means the following documents, each governed by the laws of Australia, and in form and substance satisfactory to the Collateral Agent (as the same may be amended, amended and restated, supplemented or otherwise modified from time to time):

  • Agent and Australian Security Trustee may, and each Lender authorizes Agent and Australian Security Trustee to, enter into all Loan Documents to which Agent or Australian Security Trustee is intended to be a party and accept the Guaranty and Security Agreement and all Australian Security Documents.

More Definitions of Australian Security Documents

Australian Security Documents means the Australian Pledge, the Australian Security Agreement and each other Note Security Document governed by the law of any state or territory of the Commonwealth of Australia.
Australian Security Documents means Australian Security Deed, the Australian Security Trust Deed and each other Security Document to which the Australian Borrower, any Australian Subsidiary Guarantor or any subsidiary of the Australian Borrower is a party and that purports to grant a Lien in the assets of any such person in favor of the Australian Collateral Agent for the benefit of the Australian Secured Parties.
Australian Security Documents means, among other documents (i) the Australian General Security Deed and (ii) the Australian Law Security Trust Deed.
Australian Security Documents means (a) the general security agreement dated on or about the date of this Agreement between the Australian Security Trustee and each Australian Loan Party; (b) each Blocked Account Agreement between the Australian Security Trustee, the Australian Borrower and a Blocked Account Bank; (c) the security trust deed dated on or prior to the date of this Agreement by and between, among others, the Australian Loan Parties and the Australian Security Trustee, (d) any other documents, incidental, collateral or supplementary to the security documents referred to in clauses (a) through and including (c) required by an Agent, including for purposes of payment of stamp duty and registration and any accession deed to the security trust deed referred to in clause (c), and (e) each other security agreement or other instrument or document executed and delivered by any Australian Loan Party to the Australian Security Trustee pursuant to this Agreement or any other Loan Document granting a Lien on assets of any Australian Loan Party for the benefit of the Credit Parties (other than the Domestic Credit Parties), as security for the Foreign Liabilities.
Australian Security Documents means that certain Australian law governed Security Agreement and Guarantee, General Security Deed, Specific Security Deed and Security Trust Deed Poll to be executed and/or delivered by the Company and its Significant Subsidiaries, as applicable.
Australian Security Documents means, collectively, (i) the Australian law governed general security agreement executed on or after the Amendment Effective Date by Allurion Australia in favor of the Agent, for the benefit of the Investor and (ii) the Australian law governed specific security agreement executed on or after the Amendment Effective Date by Allurion Opco in favor of the Agent, for the benefit of the Investor, (iii) any document required to be delivered under or related to the foregoing and (iv) any amendments, restatements, supplements, waivers and other modifications to any of the foregoing.
Australian Security Documents means the following documents, each in form and substance reasonably satisfactory to Agent: (a) that certain Security Trust Deed, dated on or around the Closing Date, between, among others, the Parent and Agent; (b) that certain Specific Security Deed, dated on or around the Closing Date, between the Parent, Mesoblast USA, Mesoblast SUI and Agent; and (c) any other document that Agent and a Loan Party agree in writing to be an Australian Security Document.
