The liability of either Party under this Agreement shall not exceed the amount paid by the Assignee to the Assignor for the Assigned IP.
The Assignor hereby assigns, transfers, and conveys to the Assignee, its successors and assigns, all rights, title, and interest in and to the Assigned IP, including all associated rights of ownership and protection throughout the world.
The Assignor represents and warrants that: (a) The Assignor is the sole and exclusive owner of the Assigned IP; (b) The Assigned IP is free of any liens, encumbrances, claims, or rights of third parties.
