Asset Entities definition

Asset Entities shall have the meaning ascribed to it in the preamble hereto.

Asset Entities means collectively Crown Atlantic, Crown Communication, Crown GT, Crown NY, Crown PR, Crown PT, Crown South and any other entity that becomes an “Asset Entity” (as that term is defined in the Tower Notes Indenture) after the date hereof.

Asset Entities means, collectively, (i) Uniti Fiber GulfCo LLC, a Delaware limited liability company, bankruptcy-remote special purpose entity and a direct Wholly-Owned Subsidiary of the Borrower as of the Closing Date and (ii) any other bankruptcy-remote special purpose entity that is a Wholly-Owned Subsidiary of the Borrower and party hereto pursuant to a Joinder Agreement that holds any relevant Uniti Fiber Business Assets pursuant to a Fiber Network Assets Transfer.

Examples of Asset Entities in a sentence

• A loan secured by multiple properties owned by Single Asset Entities shall be considered Non-Recourse Indebtedness of such Single Asset Entities even if such Indebtedness is cross-defaulted and cross-collateralized with the loans to such other Single Asset Entities.

• The parties hereby agree that the Operating Partnership shall have the right, in its sole discretion, to exclude any of the Single Asset Entities from the Mergers after the date hereof until the Effective Time, provided that the Operating Partnership shall provide prior written notice to such Single Asset Entities regarding such exclusion.

More Definitions of Asset Entities

Asset Entities has the meaning specified in the Indenture.

Asset Entities. “Issuers” or “Issuer Parties” (or similar forms thereof) shall thereafter refer to the remaining Asset Entities, Issuers or Issuer Parties (or similar forms thereof) and not to the Transferred Asset Entity.
