Approved Flag State means the Republic of the ▇▇▇▇▇▇▇▇ Islands, the Republic of Liberia, the Republic of Vanuatu, the Bahamas, Panama, Malta, Denmark or such other jurisdiction as the Lender may approve at the request of the Owner, such approval not to be unreasonably withheld, conditioned or delayed.
Evidence that the Mortgage on the relevant Vessel has been registered or is capable of immediate registration with first priority against that Vessel at the relevant ship registry in the Approved Flag State.
The Borrower will, and will cause the Guarantors to, at all times (i) maintain the classification of each Vessel, (ii) maintain the flag and registry of each Vessel in an Approved Flag State (iii) keep each Vessel in good and safe condition and repair, consistent with prudent ownership and industry standards and (iv) procure that each Vessel be managed by a Manager.
If the Facility Agent notifies the Representative Borrower to that effect, such Approved Flag State shall be removed from Schedule 10 and Schedule 10 as so amended shall be the list of Approved Flag States from then on for the purposes of this Agreement.
The Borrower undertakes not to employ the Ship, nor allow its employment in connection with any activities of any military nature and to ensure that the Ship operates and maintains its status as a merchant civil ship in accordance with the applicable laws of the Approved Flag State.
