APPROVED EXPENDITURES means any out-of-pocket costs or expenditures incurred by the Partnership that (1) are not paid with rents or other income from the Property received by the Partnership for the period after the Effective Date (and as to which such rents or other income from the Property are not available to pay the same), and (2) either (A) have been approved by the Operating Partnership, which approval shall not be unreasonably withheld, conditioned or delayed or (B) are materially consistent with the Soma Square Budget. Additionally, in the event that the Partnership pays the transit impact fee for the Property prior to the Determination Date, the following shall apply: (y) if the amount thereof is less than the $1,567,235 budgeted therefor, then the Contributor shall receive a credit to its Total Consideration in an amount equal to the Contributor’s Allocable Share of fifty percent (50%) of such savings; and (z) if the fee has been advanced under the Existing Loan and the amount thereof is more than the $1,567,235 budgeted therefor, then the Operating Partnership shall receive a credit against the Contributor’s Total Consideration in an amount equal to the Contributor’s Allocable Share of fifty percent (50%) of such excess.
