Approved Expenditures has the meaning set forth in Section 6.7.

Approved Expenditures means any out-of-pocket costs or expenditures incurred by the Partnership that owns the Soma Square Property that (1) are not paid with rents or other income from the Some Square Property received by such Partnership for the period after the Effective Date (and as to which such rents or other income from the Soma Square Property are not available to pay the same), and (2) either (A) have been approved by the Operating Partnership, which approval shall not be unreasonably withheld, conditioned or delayed or (B) are materially consistent with the Soma Square Budget. Additionally, in the event that the Partnership that owns the Soma Square Property pays the transit impact fee for the Soma Square Property prior to the Determination Date, the following shall apply: (y) if the amount thereof is less than the $1,567,235 budgeted therefor, then Soma Square shall receive a credit to its Total Consideration in an amount equal to Soma Square’s Allocable Share of fifty percent (50%) of such savings; and (z) if the fee has been advanced under the Soma Square Loan and the amount thereof is more than the $1,567,235 budgeted therefor, then the Operating Partnership shall receive a credit against Soma Square’s Total Consideration in an amount equal to Soma Square’s Allocable Share of fifty percent (50%) of such excess. The parties acknowledge that (i) the adjustments to any Contributor’s Total Consideration described in this Section 2.6(d) shall be allocated among the applicable Nominees as set forth in Section 2.6(e) below, and (ii) in no event shall there be any duplication of any debits or credits pursuant to (or in the application of) the terms of this Section 2.6, Section 2.6 of the TMG Contribution Agreement and/or Section 2.6 of the H▇▇▇▇▇ Contribution Agreement.
Approved Expenditures shall have the meaning set forth in Section 3.1(o)(i)(D).
Approved Expenditures means, for the purposes of calculating Net Cash Flow, expenditures for the following which have been approved by the Lender: (i) expenditures proposed under the Annual Operating Plan for the Subject Interests under the Callon Joint Operating Agreement, covering capital expenditures, general and administrative expenses, lease operating expenses, but excluding overhead; and (ii) other out of pocket, third party expenditures related to the handling and marketing of production allocable to the Subject Interests not covered in clause (i) above, such as third party transportation, gathering and marketing expenses. Proposals for Approved Expenditures for the next calendar year shall be submitted by Borrower to the Lender prior to July 1st of the preceding year, and shall be approved or disapproved by Lender prior to August 15th of such year. Should at any time the Borrower reasonably believe actual expenditures with respect to the Subject Interests will exceed those approved by Lender, the Borrower shall submit to Lender a request for approval of such additional expenditures, together with such detail and back-up information as Lender may request, and Lender, in its sole discretion, may approve or disapprove such increase.
Approved Expenditures is defined in Section 8.1(a)(ii).
Approved Expenditures means (i) disbursements by Legacy HS during the Settlement Period if and to the extent the same are provided for in, and paid on a schedule consistent with, the amounts and timing shown in the Approved Budget, and (ii) tax distributions by Legacy HS with respect to the Settlement Period equal to fifty percent (50%) of taxable income of Legacy HS with respect to such period.
