Any one of the Chief Executive Officer, President, or Vice President Human Resources and Administration (each one an "Appointing Person"), may from time to time confer upon any employee of a division of the Corporation the title of President, Vice President, Treasurer or Secretary of such division or any other divisional title or titles deemed appropriate.
Any such titles so conferred may be discontinued and withdrawn at any time by any one Appointing Person.
Any employee of a division designated by such a divisional title shall have the powers and duties with respect to such division as shall be prescribed by the Appointing Person.
The Parent shall enter into an indemnification agreement substantially in the form attached as Exhibit C hereto with each Lender Appointing Person, each agreement effective as of the date that such Lender Appointing Person assumed the position of Lender Appointing Person.
Except as otherwise provided in Sections 1.1, 4.5(a), 8.1, 8.2, 8.4, 8.5, and Article X hereof, a proposed amendment to this Agreement may be adopted and effective as an amendment hereto if it receives the written concurrence of each Appointing Person.
