Applicable Funding Date definition

Applicable Funding Date. Has the meaning specified in Section 7.01(b) of this Trust Supplement.

Applicable Funding Date means, (i) with respect to the CEI Class B Units, the CEI Class B Initial Funding Date, and (ii) with respect to the Purchaser Class B Units and the CTPL Class B Units, the Purchaser Class B Initial Funding Date.

Applicable Funding Date means, with respect to each Applicable Commitment, the date on or prior to the expiration of the Applicable Availability Period for such Applicable Commitment on which all conditions precedent set forth in Section 6.02 are satisfied or waived in accordance with the terms of this Agreement.

Examples of Applicable Funding Date in a sentence

• If at any time prior to the Applicable Funding Date, the Trustee receives from the Company a notice pursuant to the first sentence of Section 1(f) of the NPA, then the Trustee shall give notice to the Depositary (with a copy to the Escrow Agent) of the cancellation of such Notice of Purchase Withdrawal relating to such Deposit or Deposits on such Applicable Funding Date as contemplated by Section 2.3 of the Deposit Agreement.

• No event shall have occurred or be continuing or would result from the making of the Loans on the Applicable Funding Date that would constitute a Default or Event of Default.

• Applicable Funding Date: Has the meaning specified in Section 7.01(b) of this Trust Supplement.

• The Administrative Agent shall have received a solvency certificate, substantially in the form of Exhibit K, duly executed and delivered by the chief accounting officer of the Borrower, dated as of the Applicable Funding Date, in form and substance reasonably satisfactory to the Administrative Agent.

• The Administrative Agent shall have received a Funding Date Certificate dated as of the Applicable Funding Date, duly executed and delivered by a Responsible Officer of the Borrower.

Applicable Funding Date has the meaning specified in Section 2.01(b).

Applicable Funding Date means the date on which the Holder paid the applicable principal amount in accordance with the Initial Securities Purchase Agreement.

Applicable Funding Date means (a) with respect to Tranche A-1 Term Loans, the Closing Date, (b) with respect to the Tranche A-2 Term Loans, ten days from the Closing Date and (c) with respect to the Tranche B Term Loans, Tranche C Term Loans, Tranche D Term Loans and Tranche E Term Loans, the date on or prior to the Applicable Availability Period on which all conditions precedent set forth in Section 6.02 are satisfied or waived in accordance with the terms of this Agreement.

Applicable Funding Date means the Closing Date, the Incremental Tranche A Funding Date or the Tranche B Funding Date, as applicable.

Applicable Funding Date means (i) with respect to the Tranche A-1 Term Loan, the Closing Date and (ii) with respect to the Tranche A-2 Term Loan, the First Amendment Effective Date.

Applicable Funding Date means (i) with respect to the Tranche A Term Loans, the Second Amendment Effective Date, and (ii) with respect to the Tranche B Term Loans, (x) with respect to the $3,020,022.95 in principal amount of Tranche B Term Loans deemed made in exchange for “Tranche A-2 Term Loans”, and the first $4,500,000 in principal amount of Tranche B Term Loans made by the Lenders, the Second Amendment Effective Date, and (y) with respect to any other Tranche B Term Loans, the date on which such Tranche B Term Loans are funded in accordance with Section 2.01(a)(ii), as applicable.
