Applicable Exercise Price definition

Applicable Exercise Price means, with respect to any Triggering Event, the Exercise Price immediately prior to such Triggering Event (taking into account any previous adjustments to the Exercise Price prior to such Triggering Event).
Applicable Exercise Price means, with respect to each Company Stock Option, Common Stock Warrant and Preferred Stock Warrant, the exercise price required to be paid to acquire one share of Company Common Stock, in the case of a Company Stock Option or Common Stock Warrant, or one share of Company Preferred Stock, in the case of a Preferred Stock Warrant.
Applicable Exercise Price means the Exercise Price of this Warrant as in effect at any given time during the term of this Warrant.

  • If the Company in any manner issues or sells any Common Stock Equivalents and the lowest price per share for which one share of Common Stock is issuable upon the conversion, exercise or exchange thereof is less than the Applicable Exercise Price, then such share of Common Stock shall be deemed to be outstanding and to have been issued and sold by the Company at the time of the issuance or sale of such Common Stock Equivalents for such price per share.

  • In the event the Company shall issue shares of Common Stock in a stock dividend, stock distribution or subdivision, the Applicable Exercise Price in effect immediately before such stock dividend, stock distribution or subdivision shall, concurrently with the effectiveness of such stock dividend, stock distribution or subdivision, be proportionately decreased and the number of shares of Common Stock purchasable by exercise of this Warrant shall be proportionately increased.

  • The form of this Warrant need not be changed because of any adjustment in the Applicable Exercise Price or in the number of shares issuable upon its exercise.

  • No Shares will be issued upon exercise of the Option until full payment of the Applicable Exercise Price and Tax Amount has been made.

  • Upon the occurrence of each adjustment or readjustment of the Applicable Exercise Price pursuant to this Section 4, the Company at its expense shall promptly compute such adjustment or readjustment in accordance with the terms hereof and furnish to the Holder a certificate setting forth such adjustment or readjustment and showing in detail the facts upon which such adjustment or readjustment is based.


More Definitions of Applicable Exercise Price

Applicable Exercise Price means the exercise price of a Qualifying Company Option as set forth in the applicable Company Option.
Applicable Exercise Price means a purchase price per Warrant Share equal to (i) the First Tranche Share Exercise Price if such Warrant Share is a First Tranche Share, or (ii) the Second Tranche Share Exercise Price if such Warrant Share is a Second Tranche Share, as each may be adjusted from time to time as provided herein.

The Current Market Price shall be determined pursuant to Section 10(f) of the Warrant Agreement.
