Apollo Holder definition

Apollo Holder means, collectively, Domus Investment Holdings, LLC and Apollo Investment Fund VI, L.P.

Apollo Holder means AP VIII Aegis Holdings LP, a Delaware limited partnership.

Apollo Holder means individually or collectively, as the context so requires, any Noteholder that is Apollo or any Affiliate thereof (it being agreed that all Noteholders who are Apollo Holders, or are Persons for which Apollo Global Management, L.P., or its Affiliate is a fund or asset manager, shall all be deemed to be Affiliates of such Noteholder).

Examples of Apollo Holder in a sentence

• For the avoidance of doubt, the term “Affiliate” as applied to the Apollo Holder or the Apollo Group, shall not include at any time any portfolio companies of Apollo Management VI, L.P. or any its affiliates but shall include any co-investment vehicle controlled by any member of the Apollo Group.

• This Agreement shall be binding upon the Company, the Apollo Holder, the Management Holders, any other Holders, any spouses of individual Holders and their respective heirs, executors, administrators and permitted successors and assigns.

• Notwithstanding anything herein to the contrary, the Note B Holder has the right to transfer Note B to any trust account established by an Apollo Holder in connection with any reinsurance transaction entered into between such Apollo Holder and the beneficiary of such trust account or to the beneficiary of any such trust account (pursuant to Section 19(g)).

• The Company shall be under no obligation to complete any offering of securities it proposes to make and shall incur no liability to any Apollo Holder for its failure to do so.

• The Company and any Historic Holder shall deliver any notice or document required or permitted hereunder to be delivered to Apollo or an Apollo Holder to Apollo Management VI.

Apollo Holder means (a) Athene Annuity and Life Company, Athene Annuity & Life Assurance Company, The Lincoln National Life Insurance Company and American Equity Investment Life Insurance Company, (b) Apollo Global Management, LLC or Athene Asset Management LLC or (c) any Affiliate of any Person set forth in clauses (a) or (b) above (it being agreed that all Persons for which Apollo Global Management, LLC or Athene Asset Management LLC or any of their respective Affiliates is a fund/investment advisor or asset manager for such Person at the applicable time of determination shall be deemed Affiliates of Apollo Holder for purposes of this definition).

Apollo Holder means individually or collectively, as the context so requires, the Initial Note B-1 Holder and/or the Initial Note B-2 Holder and any subsequent holder of such Note, provided such subsequent Holder is an Affiliate of such Initial Note B-1 Holder or Initial Note B-2 Holder (it being agreed that all Noteholders who are Apollo Holders, or are Persons for which an Apollo Holder or its Affiliate is a fund or asset manager, shall all be deemed to be Affiliates of such Noteholder).

Apollo Holder has the meaning given to such term in the preamble.

Apollo Holder has the meaning ascribed to this term in the Registration Rights Agreement.

Apollo Holder means the Investors listed on the signature pages hereto as an "Apollo Holder" and any Affiliate thereof that is a Holder.

Apollo Holder means (a) any Person that owns, or has the right to ------------- acquire, Apollo Registrable Securities and (b) any assignee thereof in accordance with Section 2.12.
