Antidote – a remedy to relieve, prevent, or counteract the effects of a poison.

Within thirty (30) days following the end of each calendar quarter, TAb shall provide Sear▇▇ ▇▇▇h a detailed statement of actual Manufacturing Costs used in the manufacture of Antidote delivered to Sear▇▇ ▇▇▇ing the prior calendar quarter, together with the amount by which such actual Manufacturing Costs exceeded or were less than the estimated Manufacturing Costs used in the supply of such Antidote.
After Sear▇▇ ▇▇ a third party supplier has been granted a license to manufacture the Antidote, should TAb reasonably demonstrate to Sear▇▇ ▇▇▇'s ability to discharge and fulfill its production and supply obligations hereunder, the license to manufacture and all rights granted in connection therewith shall revert to TAb. TAb and Sear▇▇ ▇▇▇ll take any and all actions, and execute and deliver such documents and communications, as may be necessary to implement and effect the foregoing.
During the term of this Agreement and in the event that this Agreement is terminated by Sear▇▇ ▇▇ a result of an uncured material breach by TAb, for a period of five (5) years thereafter, TAb shall, directly or indirectly, not use or authorize any third party to use the Antidote in connection with any product which competes with the Material.
