AMP definition

AMP means the average manufacturer price, as defined at 42 U.S.C. § 1396r-8(k)(1) and 42 C.F.R. § 447.500 et seq.

During the Term, the Executive shall be employed as the Senior Vice President, and Chief Financial Officer of the Company, and serve as member of the Company's Executive Committee, reporting to the President and Chief Executive Officer of the Company with the traditional duties, responsibilities and authority of such office in companies similar in size to the Company. Executive shall during the term hereof serve as a member of the Board of Directors. The Executive agrees that he shall perform his duties hereunder faithfully and to the best of his abilities and in furtherance of the business of the Company and its subsidiaries and shall devote substantially all of his business time, energy and attention to the business of the Company and its subsidiaries.
