If the Exchange Offer is not commenced by the Company by the Exchange Offer Deadline or is not completed within 60 days of commencement thereof, the Company shall within ten (10) Business Days of such failure make a payment of $100 per $1,000 principal amount of Amended Notes to Holders of Amended Notes as of the date of the Exchange Offer Deadline and all outstanding Amended Notes shall be assigned and placed into the applicable CUSIP and ISIN of the applicable series of Existing Notes.
In the event the maturity of the Amended Notes is accelerated by reason of an election by the holder thereof resulting from a default thereunder or under any other document executed as security therefore or in connection therewith, or by voluntary prepayment by the maker, or otherwise, then earned interest may never include more than the maximum rate of interest permitted by applicable law.
All sums paid or agreed to be paid to the holder of the Amended Notes for the use, forbearance or detention of the indebtedness of the maker to the holder of such Amended Notes shall be amortized, prorated, allocated and spread throughout the full term of such indebtedness until payment in full for the purpose of determining the actual rate on such indebtedness is uniform throughout the term thereof.
From and after the date of the consummation of the IPO and until the Notes are surrendered and exchanged for the Amended Notes, the Notes shall entitle Lenders only to receive payments of principal, interest, fees and expenses as provided under the terms of the Amended Notes.
Following the consummation of the IPO, Lenders shall surrender their Notes to Borrowers in exchange for the Amended Notes.
