Notwithstanding anything to the contrary in Section 10.1, only individual claims (or groups of related claims or claims of the same Person having similar factual and legal bases) that are subject to the Aggregate Threshold Amount and the Cap under this Section 10.4 and that result in Losses in excess of $10,000 shall be considered in determining whether the Aggregate Threshold Amount has been exceeded.
No indemnification under Section 7.1 shall be required unless the aggregate amount of Losses exceeds one hundred thousand Dollars ($100,000) (the “Aggregate Threshold Amount”), at which time the Indemnifying Party shall be responsible for any Losses incurred in excess of such Aggregate Threshold Amount.
