Agent Member of any Person shall mean such Person's agent member of the Securities Depository that will act on behalf of a Bidder.

Agent Member means a member of, or participant in, any Depositary.

Agent Member means a Person with an account at the Securities Depository that holds one or more VRDP Shares through the Securities Depository, directly or indirectly, for a Beneficial Owner and that will be authorized and instructed, directly or indirectly, by a Beneficial Owner to disclose information to the Remarketing Agent and the Tender and Paying Agent with respect to such Beneficial Owner.

Agent Member means a member of the Securities Depository that will act on behalf of a Beneficial Owner of one or more APS or on behalf of a Potential Beneficial Owner.

Agent Member means a member of the Securities Depository that will act on behalf of a Beneficial Owner of one or more shares of AMPS or a Potential Beneficial Owner.

Agent Member has the meaning set forth in the Statement.

Agent Member with respect to any Global Security means a member of or participant in the Depositary for such Global Security.

Agent Member has the meaning specified in Section 2.5.
