After-Tax definition

After-Tax means after taking into account all applicable Taxes and Excise Tax.
After-Tax contributions means:
After-Tax which means an amount contributed by the Employee on an after-tax basis in conjunction with a Contribution Election, as described in Section 3.4.

  • If the Accounting Firm determines that the Executive would not have a greater Net After-Tax Receipt of aggregate Payments if the Agreement Payments were so reduced, the Executive shall receive all Agreement Payments to which the Executive is entitled hereunder.

More Definitions of After-Tax

After-Tax means after deducting Cogentrix GP's or Cogentrix LP's, as applicable, notional project Federal and state income tax. As used in this definition of After-Tax, the notional project Federal and state income tax of Cogentrix GP and Cogentrix LP shall be calculated as follows:
After-Tax means, with respect to any amount, (i) such amount, multiplied by (ii) 1 minus the highest marginal tax rate for corporations applicable under the Code.
After-Tax means, with respect to the receipt of proceeds received by UpstreamCo or any member of its Group in consideration for the asset sales, and pursuant to the sale agreements, set forth on Schedule 2.9(c), the amount of such proceeds decreased by the sum of (x) the amount of any Taxes paid or payable by UpstreamCo (including, for the avoidance of doubt, any Tax required to be deducted or withheld by the purchaser of the relevant assets) and (y) the amount of any Tax benefit of UpstreamCo lost, in each case, in respect of or attributable to the receipt of such proceeds from such purchaser; provided, that any Taxes paid or payable and any Tax benefits lost shall be determined using the highest marginal rates in effect for UpstreamCo at the Effective Time.
After-Tax means subtracting an estimated deduction at an effective 38% tax rate.
After-Tax means employee contributions made to the Plan which were, when made, subject to federal income taxes.

After-Tax. Basis: a basis such that any payment to be received or receivable by any Person is supplemented by a further payment to that Person so that the sum of all the two payments, after deducting all Taxes (taking into account any current credits or current deductions attributable to the event or circumstance giving rise to the requirement that the original payment be made) currently payable by such Person or any of its Affiliates under any applicable Law or governmental authority, is equal to the payment due to such Person.
