Pursuant to General Resolution (AFIP) No. 3293 published on March 26, 2012, you are subject to an annual information regime under which you must report any equity interests held in the Company to the Argentine tax authorities.
All invoices must be electronic, as is mandatory by Argentine regulations, and must be issued in compliance with General Resolution (AFIP) No. 1,415, as amended, or any other current or future applicable regulations related to invoicing.
In any event, the Company shall honor these obligations and all other obligation with the AFIP and the ANSES, as they become due.
For purposes of making such withholding under the terms provided by the CDI, the LICENSOR shall deliver to the LICENSEE, within 30 days after the execution hereof, the certificate of tax residence in Spain granted by the tax authorities of such country, and shall send the new certificates upon expiration of the effective term of the certificates sent, all in accordance with the regulations issued by the Superintendency of Corporations of the Argentine Republic (AFIP).
The new system is intended to create a single electronic system where importers can follow each step of the import license approval process by the different agencies involved: the Trade Secretariat of the Ministry of Economy, Tax Revenue Agency (AFIP), the Customs Agency, and the Central Bank.
